Summary: By creating a brand account on FITR, you agree to pay $19/month for access to your seller dashboard and listings, and a 12% commission on every sale. You are responsible for accurate listings, product quality, fulfillment, and shipping. FITR handles the storefront, checkout, and customer experience.
This Brand Seller Agreement ("Agreement") is a legally binding contract between you ("Brand," "Seller," or "you") and FITR ("FITR," "we," "us," or "our"), operated by Jeremiah Maximo. By creating a brand account, subscribing to our seller plan, or listing any product on the FITR platform (joinfitr.com or the FITR mobile app), you acknowledge that you have read, understood, and agree to be bound by this Agreement in full.
If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms. If you do not have such authority, or if you do not agree to these terms, you must not create a brand account or list products on FITR.
We reserve the right to update this Agreement at any time. We will notify you of material changes via email to the address on your account. Continued use of the platform after changes constitutes acceptance of the updated terms.
2.1 Account Creation. To sell on FITR, you must create a brand account and provide accurate, complete information including your legal business name, contact email, and billing details. You are responsible for maintaining the confidentiality of your account credentials.
2.2 Subscription Fee. Access to the FITR brand seller dashboard and product listing capabilities requires a subscription of $19.00 USD per month ("Subscription Fee"). The Subscription Fee is charged automatically at the start of each billing cycle via Stripe.
2.3 Auto-Renewal. Your subscription automatically renews monthly unless you cancel before the renewal date. You authorize FITR to charge your payment method on file for each renewal period.
2.4 Cancellation. You may cancel your subscription at any time by emailing app@joinfitr.com from your account email address, or by managing your subscription through your brand dashboard. Upon cancellation, your account and listings remain active until the end of the current paid billing period. No refunds are issued for partial billing periods.
2.5 One Account Per Brand. Each brand may maintain only one active brand account. Creating multiple accounts to circumvent policies or fees is prohibited and may result in immediate termination of all associated accounts.
2.6 Account Accuracy. You agree to keep your account information (business name, email, shipping address, banking details) current and accurate at all times.
3.1 Platform Commission. FITR charges a 12% commission on the gross sale price (excluding shipping) of each item sold through the platform. You retain 88% of each sale's product revenue.
3.2 Commission Calculation. Commission is calculated on the final selling price paid by the customer, before shipping costs. Discounts, promotions, or coupons applied to a sale reduce the base amount on which commission is calculated.
3.3 Payout Schedule. Payouts are processed every two (2) weeks via Stripe to your registered bank account or debit card. Minimum payout threshold is $10.00 USD. Amounts below the threshold roll over to the next payout cycle.
3.4 Payout Delays. FITR reserves the right to hold payouts for up to 14 additional days in cases of suspected fraud, high dispute rates, or pending investigations. We will notify you if a hold is placed on your account.
3.5 Taxes. You are solely responsible for determining and paying all applicable taxes on your sales, including sales tax, VAT, and income tax. FITR may issue a 1099-K if your annual sales exceed IRS reporting thresholds. You agree to provide accurate tax identification information upon request.
4.1 Accuracy. All product listings must be accurate, complete, and not misleading. This includes product names, descriptions, ingredients, weight, dimensions, photos, and pricing. You are solely responsible for the accuracy of your listings.
4.2 Pricing. You set your own product prices. FITR may suggest pricing based on market data but the final price is always your decision. Prices must be in USD and must reflect the actual price customers will pay (excluding shipping).
4.3 Inventory. You must maintain accurate stock levels in your dashboard. Accepting orders for out-of-stock items without fulfilling them within the stated handling time may result in account suspension.
4.4 Product Images. You must own or have the rights to use all images submitted. Images must accurately represent the product and may not include watermarks from competing platforms.
4.5 FITR Approval. FITR reserves the right to review, edit, reject, or remove any product listing that violates this Agreement, FITR's content policies, or applicable law — at our sole discretion and without prior notice.
4.6 Listing Suspension. Listings may be suspended due to: customer complaints, quality issues, legal concerns, inaccurate descriptions, or policy violations. We will notify you by email in most cases.
The following are strictly prohibited on the FITR platform:
Violation of this section may result in immediate account termination without refund, and we reserve the right to pursue legal action for damages.
6.1 Your Responsibility. You are solely responsible for fulfilling all orders placed through FITR. FITR is a marketplace platform — we do not handle inventory, warehousing, packing, or shipping on your behalf.
6.2 Handling Time. You must specify your handling time (the number of business days to prepare and ship an order) in your dashboard. Orders must be shipped within the stated handling time. Standard maximum handling time is 5 business days unless otherwise agreed.
6.3 Order Notifications. FITR will notify you of new orders via email to your registered brand account email. You are responsible for monitoring that email for order notifications.
6.4 Tracking. You must provide a valid tracking number for all shipped orders within 24 hours of shipment. Failure to provide tracking may result in automatic refunds to customers.
6.5 Shipping Costs. You are responsible for all shipping costs unless you choose to offer free shipping. Shipping rates shown to customers must reflect your actual shipping costs. You may not use shipping as a profit center to circumvent the commission structure.
6.6 Packaging. Products must be packaged to arrive undamaged. You are responsible for any damage resulting from inadequate packaging.
6.7 Failed Deliveries. If a package is lost or damaged in transit, you are responsible for resolving the issue with the carrier and with the customer — including issuing a replacement or refund as appropriate.
7.1 Return Policy. You must honor a minimum 14-day return policy for all products sold through FITR, unless the item is clearly marked as non-returnable (e.g., opened supplements, consumables, or hygiene products). Your return policy must be clearly stated in your product listings.
7.2 Defective Items. You must accept returns for any item that arrives defective, damaged, or not as described, regardless of your stated return policy.
7.3 Return Shipping. For returns due to your error (wrong item, defective product, not as described), you must cover return shipping costs. For buyer's remorse returns, you may require the buyer to cover return shipping.
7.4 Refund Processing. Upon receiving a returned item, you must process the refund within 3 business days. Refunds are processed through FITR and deducted from your next payout cycle. The 12% commission is refunded to you when a full refund is issued.
7.5 Chargebacks. If a customer initiates a chargeback with their bank, FITR will notify you and may request evidence to contest it. You are responsible for providing shipment and delivery confirmation. Chargeback fees assessed by payment processors may be passed on to the seller if the dispute is lost and the seller was at fault.
8.1 Stripe. All payments on FITR are processed by Stripe, Inc. By selling on FITR, you agree to Stripe's Terms of Service, which govern your payout account.
8.2 Payout Account. You must connect a valid Stripe-supported bank account or debit card to receive payouts. You are responsible for providing accurate banking information. FITR is not liable for misdirected payments resulting from incorrect information provided by you.
8.3 Currency. All transactions are conducted in USD. You are responsible for any currency conversion fees if your bank account is denominated in another currency.
9.1 Your Content. You retain ownership of your brand assets, product photos, and descriptions. By submitting content to FITR, you grant FITR a non-exclusive, royalty-free, worldwide license to display, reproduce, and use that content to operate and promote the FITR platform, including in marketing materials.
9.2 FITR's IP. All FITR trademarks, logos, and platform code are the exclusive property of FITR. You may not use FITR's name, logo, or branding without prior written approval, except to truthfully state that your products are available on joinfitr.com.
9.3 Third-Party IP. You represent that your listings do not infringe any third party's patents, trademarks, copyrights, or trade secrets. You are solely liable for any IP infringement claims arising from your listings.
10.1 By You. You may terminate your brand account at any time by canceling your subscription and emailing app@joinfitr.com. Termination does not entitle you to a refund of any Subscription Fees already charged.
10.2 By FITR. FITR may suspend or terminate your account immediately and without prior notice for: violation of this Agreement, suspected fraud, illegal activity, repeated customer complaints, chargebacks above acceptable thresholds, or any conduct that FITR determines, in its sole discretion, is harmful to the platform or its customers.
10.3 Effect of Termination. Upon termination, your listings are immediately removed from the platform. You remain responsible for fulfilling any orders placed before the termination date. Outstanding payouts will be processed at the next regular payout cycle, less any amounts owed to FITR.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FITR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE PLATFORM OR THIS AGREEMENT, EVEN IF FITR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
FITR'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
FITR DOES NOT GUARANTEE A MINIMUM LEVEL OF SALES OR REVENUE FROM YOUR PARTICIPATION IN THE PLATFORM.
You agree to defend, indemnify, and hold harmless FITR and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your breach of this Agreement; (b) your product listings or products, including product liability claims; (c) your fulfillment, shipping, or customer service practices; (d) your violation of any applicable law or regulation; or (e) any claim that your content infringes a third party's intellectual property rights.
This Agreement is governed by the laws of the State of Florida, United States, without regard to its conflict-of-law provisions. Any dispute arising from this Agreement that cannot be resolved informally shall be submitted to binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall take place in Miami, Florida. You waive the right to participate in any class action lawsuit or class-wide arbitration.
Notwithstanding the above, FITR may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
