SERVICE.

These Terms of Service ("Terms") govern your access to and use of the FITR website (joinfitr.com) and mobile application (collectively, the "Services") operated by FITR, Inc. ("FITR," "we," "us"). By creating an account or making a purchase you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Eligibility

You must be at least 13 years old to use FITR. If you are between 13 and 17, your parent or legal guardian must review and consent to these Terms. Purchases require a minimum age of 18 or the legal age of majority in your jurisdiction, or parental authorization.

2. Account Registration

• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• Notify us immediately at app@joinfitr.com if you suspect unauthorized access.
• We reserve the right to suspend or terminate accounts for violations of these Terms.

3. Purchases and Payments

All prices are in US Dollars (USD). Payment is processed by Stripe, Inc. By submitting payment, you authorize FITR to charge your payment method for the total shown at checkout.

• Platform fee: A 12% FITR platform fee is applied to all orders and disclosed at checkout.
• Shipping: Shipping fees vary by seller and are disclosed at checkout.
• Order confirmation: A confirmation email is sent to your registered email after purchase.
• Price changes: The price shown at checkout is final for that transaction.

4. Refund and Return Policy

Brand sellers on FITR are responsible for fulfilling returns under the terms of the Brand Seller Agreement. If a seller fails to honor a valid return, FITR will intervene and issue the refund on their behalf.

5. FITR Prime Subscription

• Cancellation: Cancel anytime via Account → Settings or by emailing us. Takes effect at end of current billing period.
• No partial refunds for unused days of a billing period.
• Price changes: We will notify you at least 30 days before any price increase.

6. Marketplace — Shopper Terms

FITR is a marketplace platform. Products listed on FITR are sold by independent brand sellers ("Sellers") who have agreed to the Brand Seller Agreement. FITR is not the seller of record on third-party transactions. FITR acts as a limited agent to facilitate the transaction between you and the Seller.

• Sellers are responsible for the accuracy of their product listings, fulfillment, and returns.
• FITR monitors Seller compliance and will remove listings or suspend sellers who violate our policies.
• FITR does not guarantee the quality, safety, or legality of any product listed by a Seller beyond what is represented in the listing.
• Product images, descriptions, and brand names on Seller listings are provided by the Seller. Presence of a brand name does not imply endorsement of FITR by that brand.
• If a Seller dispute cannot be resolved, contact us at app@joinfitr.com and FITR will mediate.

7. Brand Seller Accounts

Businesses wishing to sell on FITR must create a Brand Seller Account at sell.joinfitr.com and agree to the Brand Seller Agreement. Key terms include:

• Subscription fee: $19/month per brand account, billed monthly via Stripe. Non-refundable.
• Commission: 12% of each sale is retained by FITR as a platform fee.
• Fulfillment: Sellers are responsible for inventory, shipping, and returns.
• Compliance: Sellers must comply with all applicable laws, including consumer protection, product safety, and tax regulations.
• Account suspension: FITR may suspend or terminate Seller accounts for policy violations, fraud, or repeated customer complaints.

8. Prohibited Uses

You agree not to:

• Use the Services for any unlawful purpose.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Submit false, misleading, or fraudulent information or product listings.
• Resell products purchased on FITR without written consent.
• Use automated tools (bots, scrapers) to access the Services without permission.
• List prohibited products including counterfeit goods, controlled substances, weapons, or items violating export controls.
• Engage in any activity that disrupts or interferes with the Services.

9. Intellectual Property

All FITR-owned content — including the logo, name, design, text, graphics, and software — is owned by or licensed to FITR, Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, or distribute our content without express written permission.

Sellers retain ownership of the content they upload (product photos, descriptions) and grant FITR a non-exclusive, royalty-free license to display that content in connection with the Services.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. FITR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. FITR MAKES NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR FITNESS FOR A PARTICULAR PURPOSE OF ANY CONTENT OR PRODUCTS LISTED BY THIRD-PARTY SELLERS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FITR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICES. FITR'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FITR IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

12. Indemnification

You agree to indemnify and hold harmless FITR, its officers, directors, employees, and agents from any claims, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; or (c) if you are a Seller, your product listings, sales, or fulfillment activities.

13. Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute shall first be attempted to be resolved informally by contacting us at app@joinfitr.com. If unresolved within 30 days, disputes shall be resolved through binding arbitration, except either party may seek relief in small claims court for claims within applicable limits.

Class action waiver: You agree to resolve disputes individually and waive the right to participate in any class action against FITR.

14. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or prominent notice at least 30 days before they take effect. Continued use of the Services constitutes acceptance of the updated Terms.
